Terms of Service

By creating an account, connecting an integration, or otherwise accessing or using RedGem, you agree to these Terms. If you do not agree, you should not use RedGem.

RedGem is an operations platform for e-commerce teams and professionals. It is designed to centralize operational and business information from connected systems such as Shopify, Meta Ads, business mailboxes, and other operational and financial sources you choose to connect. RedGem is currently under development, and its features continue to evolve.

RedGem is intended for business and professional use. It is not intended for ordinary personal, family, or household use. You may use RedGem on behalf of a company, organization, agency, or e-commerce business, or in your own capacity as an independent professional, freelancer, sole proprietor, or individual operating a business in your own name. You are not required to have an incorporated legal entity to use RedGem.

You must be at least 18 years old to use RedGem. By using RedGem, you represent that you meet this requirement and that you have the authority to agree to these Terms, whether on your own behalf or on behalf of an organization.

You are responsible for maintaining the accuracy of your account information and for safeguarding your account credentials. You are responsible for activity that occurs under your account, and you should notify us promptly if you become aware of unauthorized access.

RedGem may allow an organization to invite multiple users and assign roles with different levels of access. If you administer an organization within RedGem, you are responsible for managing who has access and for the permissions granted to each user.

RedGem allows you to connect third-party services, such as Shopify stores, Meta Ads accounts, and business mailboxes. You are responsible for having the authority to connect any store, ad account, mailbox, or other system you connect to RedGem, including systems belonging to a client or another organization. You must not connect a system you are not authorized to access.

Connected services remain subject to their own terms and privacy practices, and RedGem is not responsible for the availability, content, or practices of those third-party services.

You are responsible for the accuracy of information you provide to RedGem, for configuring your organization, stores, and user permissions appropriately, and for complying with applicable law in connection with your use of RedGem, including laws that apply to the data you connect or import.

You agree not to use RedGem to:

• violate applicable law or the rights of others;
• access data, accounts, or systems you are not authorized to access, including another organization's data;
• engage in abusive automation, scraping, or activity that places unreasonable load on the platform;
• attempt to steal credentials or bypass authentication or security controls;
• interfere with or disrupt the integrity or performance of RedGem;
• introduce malware or other harmful code into the platform; or
• engage in fraudulent or deceptive conduct.

As between you and RedGem, you retain your rights in the business data you connect to, upload to, or generate through RedGem (“Customer Data”). RedGem receives only the permissions reasonably necessary to process Customer Data in order to provide the service to you.

When you connect an integration, you authorize RedGem to access the information made available through that integration and your chosen permissions, for the purpose of providing the RedGem service. You may revoke this authorization at any time by disconnecting the integration, which limits our ongoing access going forward.

RedGem and its underlying technology, including our software, design, and branding, are owned by RedGem Solutions or our licensors. These Terms do not grant you any rights in RedGem's intellectual property except the limited right to use the platform as permitted here.

If you provide suggestions or feedback about RedGem, we may use that feedback without obligation to you, and you agree we may incorporate it into RedGem without compensation or attribution.

RedGem is currently under development. Features may be introduced, changed, or removed as the platform evolves, and pre-release or beta functionality may contain errors or behave unexpectedly. Functionality available today may be modified or discontinued before a general commercial release.

We may update, modify, or discontinue features of RedGem at any time. Where reasonably practical, we will try to provide notice of material changes that significantly affect your use of the platform.

We aim to keep RedGem available and operating reliably, but we do not guarantee uninterrupted or error-free operation, and we do not currently offer a service-level agreement or uptime guarantee.

RedGem is currently under development, and public paid plans have not been finalized. RedGem may introduce paid plans in the future. Before you are asked to purchase a paid plan, we will present the applicable pricing and billing terms, and additional commercial terms may apply to a paid subscription at that time. Using RedGem today, including during its development or pre-release phase, does not by itself obligate you to pay fees.

We may suspend your access to RedGem if we reasonably believe your use violates these Terms, poses a security risk, or could harm RedGem, other users, or third parties. Where practical, we will try to notify you of the reason for suspension.

You may stop using RedGem and close your account at any time. We may suspend or terminate your access to RedGem if you materially breach these Terms or if we discontinue the platform or a particular feature.

Following termination of your account, we may retain Customer Data for a limited period consistent with our Privacy Policy and applicable legal obligations, after which it may be deleted or anonymized in the ordinary course of our data handling practices.

RedGem may reference, link to, or integrate with third-party services that are not operated by us. We are not responsible for the content, functionality, or practices of third-party services, and your use of them is governed by their own terms.

RedGem is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by applicable law.

To the extent permitted by applicable law, RedGem and its personnel will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business, arising out of or related to your use of RedGem, even if advised of the possibility of such damages.

You agree to indemnify and hold RedGem harmless from claims, losses, and expenses arising from your misuse of RedGem, your violation of these Terms, or your violation of applicable law or the rights of a third party, including in connection with systems or data you connect to RedGem without proper authorization.

We may update these Terms from time to time, including as RedGem develops and introduces new features, integrations, or commercial terms. We will update the “Last updated” date above when we do, and material changes may be communicated through the platform or by email. Continued use of RedGem after changes take effect constitutes acceptance of the updated Terms.
